Theoremetrics™ Terms of Service

Welcome to Theoremetrics™, operated by LumaNavi LLC ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Theoremetrics™ job post authenticity signal analysis service (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms and our [Privacy Policy], which is incorporated by reference.

If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Description of Service

Theoremetrics™, operated by the Brinley Engineering Institute (a LumaNavi initiative), is a public-record intelligence service. It aggregates publicly available records, regulatory filings, and disclosures from official and sanctioned third-party sources — for example government regulators, SEC EDGAR, USAspending.gov, and other public data APIs — and applies probabilistic signal-scoring models to surface patterns relevant to digital-platform and civic accountability. The Service:

The Service is an aggregator, not an author: it surfaces what the public record says, with provenance, and does not originate verdicts about any named entity. It accesses only publicly available data and sanctioned APIs — it does not circumvent authentication, paywalls, or technical access controls, and it does not collect private personal data about the individuals behind the records it aggregates.

2. Score Accuracy — Probabilistic Signals, Not Factual Determinations

Scores produced by Theoremetrics™ are probabilistic signals derived from observable indicators you provide. They are not factual determinations, findings, verdicts, accusations, or conclusions about whether any specific job post, employer, recruiter, company, or hiring organization is fraudulent, deceptive, misleading, or acting in bad faith.

No score produced by the Service:

Score descriptions use "suggests," "indicates," or "may reflect" language intentionally. The Service identifies patterns that statistically co-occur with authenticity concerns. It does not confirm, verify, or establish any fact about any specific job post.

Calibration-Pending Status

The scoring model used by Theoremetrics™ is currently in CALIBRATION-PENDING status. The mathematical constants underlying the scoring model are structurally sound but have not yet been validated against empirical data through ongoing calibration. Scores are subject to revision as the model is refined. We will provide notice of material recalibration events.

3. No Reliance on Scores for Employment Decisions

Theoremetrics™ scores are informational tools for personal job seeker due diligence. You should not make any employment decision — including whether to apply for, accept, or decline a position — solely or primarily on the basis of a Theoremetrics™ score. The Service does not provide employment advice, career counseling, or legal advice about any employment matter.

4. Permitted Use

You may use the Service to analyze job postings for your own personal job search due diligence, generate Authenticity Signal Reports for your own informational purposes, and access your own audit case history and reports.

5. Prohibited Use

You may not use the Service to:

(a) Publish or distribute employer-specific scores. You may not publish, share, redistribute, post publicly, or transmit to any third party any Theoremetrics™ score, Authenticity Signal Report, or analysis result that identifies or could be used to identify a specific employer, company, recruiter, or job posting without prior written consent from LumaNavi LLC.

(b) Create employer ratings or databases. You may not aggregate, compile, or publish Theoremetrics™ scores for the purpose of creating employer ratings, rankings, authenticity databases, or comparative score publications about specific named entities.

(c) Use scores as the basis for public statements. You may not use Theoremetrics™ scores as the factual basis for public statements, allegations, or claims about any employer's conduct, intent, or business practices.

(d) Use scores in formal proceedings. You may not use Theoremetrics™ scores as evidence in any litigation, regulatory complaint, government filing, or formal legal proceeding.

(e) Automated analysis. You may not use automated scripts, bots, crawlers, or systematic methods to submit data to or retrieve data from the Service.

(f) Violate third-party platform terms. You may not submit content obtained in violation of any third-party platform's terms of service.

(g) Reverse engineer the scoring model. You may not attempt to reverse engineer, reconstruct, or derive the proprietary scoring model, signal weights, or calibration constants used by the Service.

6. User Representations

You represent and warrant that any content you submit was accessed and is submitted in compliance with the source platform's terms of service and applicable law, that you are not submitting content in violation of any third party's rights, and that your use of the Service complies with all applicable laws.

7. Intellectual Property

The Service, including all content, features, software, designs, logos, and trademarks — including Theoremetrics™, Authenticity Signal Report™, and Reality Confidence Score™ — is owned by LumaNavi LLC and protected by applicable intellectual property law. Nothing in these Terms grants you any rights in the foregoing. You retain ownership of content you submit, and by submitting it you grant LumaNavi LLC a limited license to process that content solely to provide the Service to you.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUMANAVI LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY THAT SCORES ACCURATELY REFLECT THE AUTHENTICITY OR LEGITIMACY OF ANY JOB POST, ANY WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE INCLUDING FITNESS FOR EMPLOYMENT DECISION-MAKING, AND ANY WARRANTY THAT USE OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

The CALIBRATION-PENDING status of the scoring model is a material characteristic of the Service. You acknowledge and accept this limitation.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUMANAVI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING LOST EMPLOYMENT OPPORTUNITIES, FINANCIAL HARM FROM ACTING ON A SCORE, OR ANY CLAIM BY A THIRD PARTY ARISING FROM YOUR MISUSE OF THE SERVICE. LUMANAVI LLC'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF THE FEES YOU PAID IN THE PRECEDING TWELVE MONTHS OR FIFTY DOLLARS ($50).

10. Indemnification

You agree to indemnify, defend, and hold harmless LumaNavi LLC and its officers, directors, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your violation of Section 5 (Prohibited Use), your submission of content you did not have the right to submit, or your misrepresentation of Theoremetrics™ scores to third parties as factual determinations.

11. Dispute Resolution

Before filing any claim, you agree to contact us at legal@theoremetrics.lumanavi.io and attempt to resolve the dispute informally for 30 days.

Any unresolved dispute arising from or relating to these Terms or the Service will be resolved by binding individual arbitration under the rules of the American Arbitration Association. You and LumaNavi LLC each waive any right to bring claims as a plaintiff or class member in any class or representative action. You may opt out of arbitration within 30 days of first agreeing to these Terms by sending written notice to legal@theoremetrics.lumanavi.io.

These Terms are governed by the laws of Wisconsin, without regard to conflict-of-law principles. For disputes not subject to arbitration, you consent to exclusive jurisdiction in the courts of Wisconsin.

12. Modifications

We may modify these Terms at any time. For material changes — including recalibration events that materially revise the scoring model — we will provide at least 30 days' notice via your account email or in-product notification. Continued use after the notice period constitutes acceptance of the revised Terms.

13. General

These Terms and the Privacy Policy constitute the entire agreement between you and LumaNavi LLC regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. You may not assign these Terms. We may assign in connection with a merger, acquisition, or sale of assets. Sections 2, 5, 8, 9, 10, and 11 survive termination.
